1. Introduction

TikTok Shop is committed to conducting business in accordance with ethical business standards and seeks to develop and maintain business relationships with business partners who uphold the principles of integrity, respect, and responsibility in their business operations. These principles are fundamental to all of TikTok Shop's business activities. TikTok Shop expects its business partners to also adhere to these principles, working together for mutual growth and success.

The TikTok Shop Business Partner Code of Conduct ("the Code") is based on relevant requirements of international conventions and guidelines, such as the United Nations Universal Declaration of Human Rights and the International Labour Organization Declaration on Fundamental Principles and Rights at Work. The Code sets standards and responsibilities for each business partner in areas such as compliance and business ethics, labor rights and human rights, health and safety, and environmental protection, but we do not intend to exhaust all topics or scenarios here.

Furthermore, the principles and requirements of this Code are not intended to replace, supersede, or modify any applicable legal and regulatory requirements or contractual obligations between business partners and TikTok Shop, nor are they intended to conflict with them.


2. Scope of Application


"Business Partner" refers to all third parties (including but not limited to merchants, suppliers, service providers, agents, vendors, consultants, etc.) that provide any products or services to or on behalf of TikTok Shop or conduct any activities for TikTok Shop, and also includes all third parties that use the TikTok Shop platform for advertising, selling products or services ("Business Partner").

The Code applies to all business partners, including employees, board members, officers, managers, consultants, and other third parties conducting business-related activities for TikTok Shop's subsidiaries, branches, and affiliates ("TikTok Shop") globally. Business partners should also require the third parties they work with to comply with the ethical standards and requirements in the Code.

3. Compliance with the Code, Laws, and Ethical Business Practices


3.1 Compliance with the Code and Laws


Business partners must comply with the Code when conducting business with or on behalf of TikTok Shop.

Business partners must comply with all applicable laws and regulations in the countries and regions where they operate and where goods and services are provided. If local laws require less than the Standards, business partners must comply with the Standards; if local laws require more than the Standards, business partners must always comply with such laws.


3.2 Anti-Bribery and Corruption

TikTok Shop conducts business honestly and ethically, with zero tolerance for any illegal or unethical conduct, including but not limited to corruption, bribery, fraud, extortion, embezzlement, and kickbacks. To build transparent and trustworthy business relationships, we expect our business partners to follow the same standards.

Business partners must comply with applicable anti-corruption laws and regulations in the countries and regions where they operate, international anti-corruption conventions, and relevant TikTok Shop policies and procedures. Business partners shall not, directly or indirectly through a third party, offer, give, or accept anything of value to or from any person (including government officials) to improperly obtain or maintain business or business advantages, including but not limited to cash, cash equivalents (such as gift cards), loans, job opportunities, gifts, meals, entertainment, travel, charitable or political donations and sponsorships. Facilitation payments are strictly prohibited. If business partners provide any business courtesies to TikTok Shop employees or representatives, such courtesies should be occasional, of low value, and permitted by applicable laws and regulations.


3.3 Conflicts of Interest

Business partners must avoid any actual or potential conflicts of interest with TikTok Shop. A "conflict of interest" refers to situations where the private interests or activities of a business partner or its employees influence or appear to influence their ability to act in the best interests of TikTok Shop. Before the start of the business cooperation or throughout the relationship, business partners must promptly disclose to TikTok Shop any actual or potential conflicts of interest, including relationships between the business partner or its employees and TikTok Shop employees, former employees, or representatives that result in or are expected to result in any actual or potential conflict of interest. Business partners must also cooperate with TikTok Shop in taking effective measures to avoid or eliminate any impact that such situations may have on the existing or potential business relationship between the parties.


3.4 Financial Integrity and Accounting

Business partners must maintain accurate books and records of all business transactions with TikTok Shop. These records must be maintained in accordance with applicable standard accounting practices and record retention policies.


3.5 Anti-Fraud

Business partners must ensure that they do not directly or indirectly, through a third party, engage in, carry out, encourage, support, condone, or otherwise participate in any illegal activities involving obtaining money or personal gain through fraudulent means. Such activities include, but are not limited to: (1) illegal consumer fraud, scams, and other deceptive business practices related to TikTok Shop (e.g., fraud perpetrated using the TikTok Shop platform) that result in financial or other losses to any individual or entity; (2) fraudulent activities against TikTok Shop.


3.6 Fair Competition

Business partners must comply with all applicable antitrust and competition laws and regulations and conduct business in a fair and honest manner. Business partners shall not propose or enter into any written or oral agreements, or otherwise conspire, collude, or coordinate business conduct to harm or lessen competition, including but not limited to attempting to fix, adjust, or control prices; dividing or allocating customers or markets; restricting the sale of services, products, or product lines; or coordinating bidding processes with competitors. Business partners shall not share information with, discuss, or enter into formal or informal agreements with any competitor regarding competitively sensitive information such as prices, profits, costs, and other similar terms.


3.7 International Trade Compliance

Business partners must comply with all applicable international trade laws and regulations, as well as all applicable contractual obligations provided by TikTok Shop and its upstream business partners, including but not limited to laws and regulations concerning import and export controls, embargoes, and economic sanctions. Business partners shall not engage in business activities or transactions with any sanctioned regions or sanctioned parties that could result in: (1) TikTok Shop violating any applicable international trade laws or regulations; or (2) TikTok Shop violating any applicable international trade contractual obligations imposed by its upstream business partners.


3.8 Anti-Money Laundering

Business partners shall not directly or indirectly facilitate money laundering activities, i.e., concealing or disguising the source of illegal funds and making them appear legitimate. To combat money laundering and terrorist financing, business partners should only conduct business with individuals or entities engaged in legitimate business activities and obtaining funds from legitimate sources. Business partners must comply with all applicable anti-money laundering and counter-terrorist financing laws in the relevant jurisdictions where they conduct business and ensure they have appropriate compliance programs in place to prevent violations of such laws.


3.9 Prohibition of Insider Trading

Business partners must ensure that any material non-public information (“Inside Information”) obtained in connection with their dealings with TikTok Shop is not used for the personal benefit of the business partner, its employees, or other individuals. Business partners must also not disclose Inside Information to others (including family members) or provide any advice on whether to trade or invest based on such information.

Determining whether information is "material" requires consideration of all relevant facts and circumstances. Generally, "material non-public information" refers to any information that a reasonable investor would likely consider important when making a trading decision, and which has not been previously disclosed to the public or is not otherwise publicly available.

3.10 Intellectual Property

Business partners must take appropriate measures to protect and must not infringe upon the intellectual property rights of TikTok Shop and its users, including but not limited to trade secrets, proprietary technology, patents, copyrights, trademarks, and source code.

Furthermore, business partners must comply with all applicable intellectual property laws and regulations, including but not limited to those relating to trade secrets, patents, copyrights, and trademarks. They should immediately inform TikTok Shop of any circumstances that may or are infringing upon such rights or laws.


3.11 Information Security and Data Protection

Business partners must comply with all applicable cybersecurity, privacy, and data protection laws and regulations in the countries and regions where they and TikTok Shop conduct their respective business operations, and adhere to relevant cybersecurity and data security standards.

Business partners must strictly comply with all confidentiality agreements and other agreements related to information confidentiality entered into with TikTok Shop, and protect confidential information they have access to. All non-public information obtained by business partners in the course of their business dealings with TikTok Shop shall be considered confidential information, including but not limited to TikTok Shop's business information, intellectual property, product strategies, proprietary data, financial information, strategic plans, organizational structure, technical or management rules, negotiation information, user and customer information, employee information, etc., and also includes confidential information of third parties that TikTok Shop is obligated not to disclose publicly under any legal provisions or contractual obligations (“Confidential Information”). Business partners may only use confidential information in accordance with the authorization and purpose for which such confidential information was obtained.

If any incident involving confidential information occurs or is likely to occur (including but not limited to failure to store confidential information in accordance with relevant agreements or legal requirements, unauthorized disclosure or misuse of confidential information, or loss or theft of assets or personal devices storing confidential information), please notify us immediately in accordance with Section 7.3.


3.12 Platform Operations and Product Security

Business partners must comply with applicable laws and regulations regarding platform operations and product security. Subject to compliance with all relevant and applicable product standards and specifications, business partners must ensure the safety of the products and services they provide.


4. Labor Rights and Human Rights

Business partners shall treat their employees with the utmost dignity and respect in accordance with applicable laws and regulations concerning labor and employment and the standards of these Guidelines.

4.1 No Child Labor

Business partners shall not employ child labor and shall establish procedures to verify and ensure that no child labor is employed. "Child" refers to any person below the minimum employment age stipulated by the applicable laws of the country or region where the work is performed.

"Minor worker" refers to a worker under the age of 18 (where local law permits their employment). The rights of minor workers must be protected by law, and they must be provided with work and positions appropriate to their age. The employment of workers under the age of 18 in hazardous work is prohibited.


4.2 No Forced or Compulsory Labor, Modern Slavery, or Human Trafficking

Business partners shall only use voluntary labor and shall not use or permit any form of modern slavery, human trafficking, or forced labor (including forced labor, debt bondage, and other involuntary labor) within their organization or supply chain. Business partners shall not restrict employees' freedom of movement and shall allow them to terminate their employment relationship in accordance with local laws. Business partners must ensure that their management understands the commitment against forced and compulsory labor, modern slavery, and human trafficking, and ensure that their employees enjoy all rights protected by relevant laws and regulations and detailed and easily understandable employment contracts. Furthermore, business partners must make reasonable efforts to ensure that their upstream suppliers do not use or permit any form of forced labor, human trafficking, or restrictions on employees' freedom of movement within the organization or supply chain, and do not restrict employees from terminating their employment relationship in accordance with local laws.


4.3 Migrant Workers

Where permitted by law, migrant workers must enjoy the same employment protections and rights as local employees. Business partners may only employ workers who have the legal right to work.

If business partners employ foreign or domestic migrant workers, they must fully comply with local immigration and labor laws and regulations. Migrant workers must be able to terminate their employment contracts in accordance with local laws.


4.4 Diversity, Inclusion, and Non-Discrimination; Prohibition of Harassment

Business partners must be committed to upholding employee rights and treating employees with dignity and respect in work-related environments. Business partners should promote diversity and inclusion to the best of their ability and establish fair recruitment, training, and promotion systems.

Business partners must ensure that the workplace is free from any form of discrimination or harassment (including but not limited to discrimination or harassment based on race, color, age, gender, religion, national or ethnic origin, marital status, sexual orientation, gender identity or expression, disability, pregnancy, or any other characteristic protected by applicable laws and regulations), and free from any form of bullying. Business partners must not tolerate behavior that is sexually suggestive, coercive, threatening, abusive, or exploitative in nature, including but not limited to gestures, language, and physical contact. Business partners must not tolerate any repeated, demeaning abuse of employees, whether or not based on any protected characteristic.


4.5 Freedom of Association and Collective Bargaining

We expect business partners to recognize and respect the right of employees to freely and voluntarily establish or join social organizations that comply with legal requirements and are registered according to law, without any unlawful restrictions, subject to compliance with local laws. Business partners should also allow their employees to negotiate equally with the company through trade unions or employee representative assemblies on major matters such as the formulation and revision of rules and regulations directly affecting the vital interests of employees or the signing of collective agreements.


5. Working Hours, Wages, and Benefits

5.1 Working Hours

Business partners must ensure that employees' working hours do not exceed the maximum working hours stipulated by the local laws and regulations of the employees' workplace.

Overtime work must be voluntary. Employees must have one day of rest for every seven days worked.

5.2 Wages and Benefits

Business partners must pay employees the minimum wage and all statutory benefits required by applicable laws and regulations. In addition to paying wages for normal working hours, overtime pay must be paid for overtime work in accordance with applicable local laws. Illegal or excessive wage deductions are not allowed, nor is withholding, delaying, or irregularly paying wages.

6. Employment Relationship

Business partners should establish fair employment relationships and protect the basic rights of employees in accordance with applicable laws and regulations.

All employees have the right to sign a written employment contract or agreement, which should be signed in a language that the employee can understand and should specify the terms and conditions of employment. Business partners are responsible for ensuring that all employees are aware of their legal rights and obligations.


7. Health and Safety

Business partners must be committed to providing a safe and healthy working environment, striving to achieve high standards of health and safety, and continuously improving working conditions.

If accommodation is provided for employees, it should be clean, hygienic, healthy, and safe.


7.1 Safe Working Environment

Business partners must ensure compliance with applicable laws and regulations.and internationally recognized standards, providing a healthy and safe working environment. Business partners must make every effort to identify and assess potential occupational health and safety risks and take necessary measures to prevent, control, reduce, or eliminate such risks.


7.2 Health and Safety Communication

Business partners must ensure that employees receive adequate and regular health and safety training and education. Business partners must provide health and safety-related information to relevant parties as appropriate, including displaying any legally required notices or signs.


7.3 Accident Reporting

Business partners should establish internal procedures for preventing, managing, tracking, and reporting occupational injuries and illnesses. Business partners should also establish provisions designed to encourage employees to report and implement corrective actions. This corrective action plan should reduce risks, provide necessary medical care, and assist employees in returning to work.


7.4 Emergency Preparedness and Response

Business partners should identify and assess potential emergencies. For each situation, business partners should develop and implement emergency plans and response procedures to minimize harm to life, the environment, and property.

8. Conflict Minerals

We do not permit the use or inclusion of conflict minerals in goods sold or advertised through TikTok Shop. Conflict minerals are minerals that originate directly or indirectly from conflict areas controlled by individuals or groups that violate human rights. TikTok Shop business partners must take reasonable measures to ensure that any minerals used in their products do not originate directly or indirectly from such conflict areas.


9. Environmental Protection

Business partners must comply with all applicable environmental laws, regulations, and standards. We expect business partners to identify and manage the risks and opportunities presented by climate change, utilize natural resources efficiently and responsibly, minimize their environmental impact, and continuously monitor their environmental performance.

9.1 Environmental Permits and Reporting

Business partners must obtain and renew all necessary environmental permits and comply with all applicable permit and local legal and regulatory requirements regarding environmental reporting.


9.2 Handling of Hazardous Materials and Waste

TikTok Shop is committed to improving business practices and making a positive contribution to the community. Business partners that generate any type of waste or emissions should identify, monitor, and responsibly handle such waste or emissions before discharge or disposal, in accordance with applicable laws and regulations. When handling hazardous materials and products classified as environmentally harmful, business partners must ensure that such materials and products are handled, transported, stored, recycled, or disposed of safely.


9.3 Pollution Prevention and Resource Conservation

Business partners must do their utmost to minimize or eliminate pollutant emissions and waste generation at the source or through measures such as increasing pollution control equipment, improving production, maintenance, and facility processes. We encourage business partners to protect natural resources, including water, fossil fuels, minerals, and virgin forest products, and improve efficiency through improved production, maintenance, and facility processes, material substitution, recycling, or other means.

10. Implementation and Monitoring


10.1 Transparency, Audits, and Assessments

These Guidelines form part of the agreement between TikTok Shop and its business partners. If a business partner acts illegally or violates these Guidelines, its business relationship with TikTok Shop may be terminated.

Business partners must maintain reasonably necessary documentation to demonstrate compliance with these Guidelines. Where permitted by applicable law or as agreed in the agreement, TikTok Shop reserves the right to audit and verify the business partner's compliance with these Guidelines. Such audits may be conducted by TikTok Shop or by a third party designated for this purpose. Business partners must ensure that the information provided during the audit is true, accurate, and complete.


10.2 Communication

Business partners must take appropriate measures to communicate the expectations and requirements set forth in these Guidelines to all employees, board members, senior officers, managers, agents, subcontractors, or other third parties conducting activities related to TikTok Shop's business on their behalf.


10.3 Continuous Improvement

Business partners should continuously improve in accordance with the requirements of these Guidelines. Non-conformities identified through audits or other assessments must be corrected within a rectification period, which will be carefully determined through consultation between TikTok Shop and the business partner.

Failure to complete appropriate corrective actions within the specified or reasonable timeframe may affect the business relationship with TikTok Shop. If a business partner refuses to take corrective action, or seriously violates laws and regulations or the requirements of these Guidelines, it may lead to the termination of the business relationship with TikTok Shop.
